What is the opportunity?
As Senior Counsel in RBC’s US Capital Markets Law Group, you will provide legal coverage across multiple product areas and functional support areas with a focus on the Firm’s Global Equities business regarding the application and impact of: (i) Federal securities laws, including, but not limited to, the ’33 Act, ’34 Act, ‘40 Act; and (ii) regulation and oversight of Federal agencies (SEC, CFTC), SROs (FINRA) and exchanges.
What will you do?
- Serve as counsel providing regulatory guidance and legal advice on all matters relating to RBCCM’s Global Equities business, including the Cash, Electronic, PT and Flow Derivatives desk, GE’s Central Risk Book activities, as well as Commission Sharing arrangements, and all related legal and regulatory matters.
- Provide ancillary support, regulatory guidance, and legal advice to RBC's ETF market-making desk and ECM origination business.
- Advise on regulatory considerations and new initiatives.
- Assist team of attorneys providing escalation support to Trade Documentation Group on various agreements, including ISDAs, CSAs, MRAs, GMRAs, MSFTA and MSLAs.
- Perform major role in collaborating with front office, Litigation, and control functions across the enterprise as needed regarding regulatory inquiries and special remediation efforts arising out of covered business lines.
- Assist in managing external counsel relationships with respect to engagements deemed necessary in connection with the foregoing.
- Stay informed on legal and regulatory developments and maintain and update documentation as needed based on such developments.
- Regularly engage in discussions with Sales, Trading, Structuring, Risk, Tax and others in relation to transaction structuring, execution, risk mitigation, internal approvals and lifecycle events.
- Assist with ad hoc issues, projects, regulatory/legal changes and new business initiatives.
What do you need to succeed?
Must-have
- Law Degree and member in good standing of the bar of a U.S. state with 2-7 years of legal experience
- Knowledge of ’33 and ’34 Act
- Strong drafting, analytical and problem solving skills
Nice-to-have
- Experience covering various equity products at a major investment bank and/or law firm
- Understanding of the economics of common products, market practices and regulatory framework

The good-faith expected salary range for the above position is $210,000-240,000 depending on factors including but not limited to the candidate’s experience, skills, registration status; market conditions; and business needs. This salary range does not include other elements that comprise our total compensation package, which includes the following: commission sharing eligibility for select roles, a discretionary bonus, a paid time-off plan, our 401(k) program with company-matching contributions, and our health, dental, vision, life and disability insurance.
